1. Agreement to Terms
By accessing or using the services provided by Eidmi, Inc. ("Company," "we," "us", "Already Built"), you agree to be bound by these Terms of Service. If you do not agree, don’t use our services.
2. Services
We provide AI-driven automation, systems implementation, and performance optimization services for businesses. The scope of work for each engagement is defined in a separate Statement of Work or service agreement.
3. Client Obligations
You agree to: provide accurate and complete information; grant reasonable access to systems and data necessary for service delivery; make timely payments as outlined in your service agreement; designate a point of contact for communications.
4. Intellectual Property
Unless otherwise stated in a service agreement: custom work product created specifically for you is assigned to you upon full payment; pre-existing tools, frameworks, and methodologies remain the property of Already Built; we retain the right to use general knowledge and techniques gained during engagements.
5. Payment Terms
Payment terms are specified in individual service agreements. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts.
5A. Delivery guarantee
This delivery guarantee applies to new implementation engagements that incorporate it in their signed Statement of Work. Existing signed agreements retain their own terms. Before work begins, we agree in writing on the scope, start date, delivery timeline, stage fees, benchmarks, acceptance process and responsibilities on both sides.
Delivery timeline
The standard engagement timeline is eight weeks from the agreed start date, including the agreed diagnosis, planning, implementation and handover work. Where substantial data foundations are required, we agree on a twelve-week timeline before work begins. The longer timeline is not an extension we can impose after missing an eight-week commitment. The agreement identifies any prerequisites to starting work.
The guarantee covers delivery against agreed benchmarks. The client's wider business goal and its measurement period are separate from the implementation deadline. Profit, revenue, valuation and other broader business outcomes are not automatically guaranteed by this delivery promise.
Covered stages and benchmarks
- Initiate: the technical solution must meet the agreed evaluation criteria under the agreed representative test conditions.
- Launch: the solution must meet the agreed production deployment and rollout benchmarks.
- Transfer: the documentation, training and handover must meet the agreed criteria for the client's named team to operate the delivered solution.
Each covered stage is assessed against its own written benchmarks, evidence and acceptance process. The Statement of Work identifies the review period, authorized reviewers, how a shortfall is reported and how a disputed result is resolved. Benchmarks cannot be changed unilaterally after work begins. Blueprint and any data-foundation stage retain their own contractual acceptance and remedy provisions and are not included in this four-week delivery remedy.
Free remedy work and failed-stage fees
If Initiate, Launch or Transfer fails its agreed benchmarks by its agreed deadline, we provide up to four additional weeks of remedy work for that failed stage at no additional service fee. We retest against the same agreed benchmarks. If the stage still fails at the end of that period, we waive any unpaid fee allocated to that stage and refund any prepaid fee allocated to it. We do not retain payment for the failed stage. The remedy period is additional to the original delivery deadline and does not erase the original miss.
Successfully delivered and accepted stages remain payable. A later failure does not automatically reverse an earlier stage's valid acceptance. For example, a successful Initiate stage remains payable if Launch later fails. A stage that never met its benchmarks cannot be treated as accepted merely to retain its fee.
Any prepaid fees for later work that will not start are returned separately. The same amount is not refunded twice. The agreement sets the actual stage allocations, refund payment deadline and treatment of any separately approved third-party costs before work begins. The guarantee does not promise a refund of the entire engagement fee or unlimited free work.
Responsibilities, delays and changes
The agreement identifies the access, data, staff participation, approvals and decisions the client must provide. Agreed client-caused delays pause the affected delivery or remedy clock for the documented period of the blocker. We notify the client of the blocker and its schedule effect. Our own planning, technical, integration, usability, training or execution failures do not qualify as client-caused delays. Adoption failures are assessed against the responsibilities and benchmarks on both sides, rather than automatically being attributed to the client.
Changes to scope, benchmarks, fees or deadlines require written agreement. When a failed stage prevents later work from proceeding, the parties document the effect on the remaining schedule and whether that work will continue. The agreement also defines cancellation, handover, access removal, data return or deletion, and rights to paid and refunded work.
How to use the guarantee
Report a missed benchmark to your engagement lead or hello@alreadybuilt.ai, identifying the stage and supporting evidence. We review the shortfall using the agreed acceptance process, document the remedy work and retest its result. The signed agreement sets the response, escalation and refund-payment deadlines.
The agreed fee waivers and refunds remain due despite the general payment, termination and liability provisions below. A failed-stage refund is not, by itself, a cap on every other form of liability. The signed agreement governs engagement-specific obligations and any conflict with these general website terms. Later website changes do not amend an existing signed agreement.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Already Built's total liability for any claim arising from our services shall not exceed the fees paid by you in the twelve months preceding the claim. We aren’t liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate a service engagement with 30 days written notice. Upon termination, you’re responsible for payment for services rendered up to the termination date, subject to the delivery guarantee and the acceptance, waiver and refund provisions in your signed agreement.
9. Governing Law
These Terms are governed by the laws of the state of Delaware. Any disputes shall be resolved in the courts of Delaware.
10. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised website Terms. Changes do not amend an existing signed engagement agreement or its incorporated guarantee without the parties’ written agreement.
